1. Definitions:

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below. Words importing the singular include the plural and vice versa, and references to a person shall include an individual, company, or any other legal entity, as the context may require.

1.1. “Campaign Period” – Means the period from 25th June 2025 at 12:00am to 3rd July 2025 until 11:59pm.

1.2. “Comera Wallet” – Refers to the digital wallet functionality within the Comera mobile application

1.3. “Participant” – Means a KYC-verified user who engages in the campaign by fulfilling the eligibility criteria of International Remittance.

1.4. “e-Raffle Draw” – Refers to the random selection process conducted electronically to determine winners.

1.5. “Comera Customers”- Refers to individuals who have successfully registered on the Comera mobile application, completed full Know Your Customer (KYC) verification in accordance with applicable regulatory requirements, and maintain an active wallet account on the platform during the Campaign Period.

1.6. “Comera App” Refers to the official mobile application developed and operated by Comera Technology LLC (where Comera Pay LLC services are integrated), through which users can access digital wallet services, initiate money transfer transactions, and participate in promotional campaigns, including the “ Comera Gold Coin Giveaway contest” campaign, subject to applicable terms and conditions.

2. This Promotion is provided by Comera Pay L.L.C.

3. Participation in this Activity constitutes acceptance of these Terms and Conditions (“T&Cs”).

4. Comera reserves the right to modify, extend, or cancel the Campaign at any time without prior notice.

5. This Activity is open only to fully KYC-verified Comera Customers.

6. Employees of Comera are not eligible to participate.

7. Participants have to do a minimum transfer of AED 10 via Comera App within the Campaign Period (to qualify for the e-Raffle Draw).

8. A total of 1 Gram (22K) Gold coin each will be distributed among 10 lucky winners, selected via e-Raffle Draw during the Campaign Period. Eligibility for the Promotion shall be determined based on the successful transaction via Comera Wallet and the confirmed credit of the customer’s payment towards a valid remittance transaction conducted through the Comera App. Transactions that are cancelled, returned, or deemed void for any reason shall not be considered eligible for participation in the Promotion.

9. Winners are responsible for any and all tax liability where applicable.

10. Each Participant selected in the e-Raffle draw shall be awarded with a 1 Gram (22K) gold coin subject to verification of identity and eligibility. Winners will be required to submit a copy of their transaction confirmation receipt along with a valid Emirates ID and/or valid Passport for verification purposes.

11. Upon successful verification, the 1 Gram Gold Coin would be handed over to 10 lucky winner’s after notification from an authorized Comera representative and confirmation via the winner’s registered mobile number.

12. All eligible transactions must be both initiated & successfully completed within the defined promotion period in order to qualify for entry into the Promotion.

13. There is a minimum transaction of AED 10 amount required to qualify for participation in this Promotion.

14. Comera reserves the right to disqualify or deny entry to any participant or remittance transaction that is suspected to involve unethical conduct, misrepresentation, fraudulent activity, impersonation, use of false identities or documents, or any other practice that may compromise the integrity of the Promotion or violate applicable laws and regulations. Comera’s determination in such cases shall be final and binding.

15. If any remittance transaction is found to be suspicious, fraudulent, and or based on incomplete, inaccurate or misleading information, Comera reserves the right to disqualify the Participant/Winner and revoke or withhold the Prize at its sole discretion. This includes, but is not limited to, transactions intended to manipulate or exploit the Promotion.

16. Comera may use and publish the winners’ photographs, videos & names of the Winners in any media including but not limited to print, digital, and social media platforms, for current or future marketing, advertising and publicity purposes. By participating in the Promotion, the Participant/Winner hereby expressly grants the Comera the right to use such information and media content without further consent, notice, or compensation and confirms that no claim shall be brought against Comera in connection with such usage.

17. Comera reserves the right to amend, modify, or update these Terms and Conditions at any time as required by applicable laws or directives from the Government or regulatory authorities, without prior notice to the participants. All the participants and winners shall be deemed to have accepted and shall be bound by such amendments upon publication.

18. Comera reserves the right, at its sole discretion, to postpone, cancel, void, or suspend the promotion at any time and , including but not limited to unforeseen circumstances, regulatory requirements, or operational constraints, without incurring any liability to the participants.

19. Any failure by a Participant or Winner to comply with these Terms and Conditions, or any instructions issued by Comera in connection with the promotion, may result in the disqualification from the Campaign and forfeiture of any prize awarded.

20. The decision of Comera in relation to any dispute, issue or matter arising out of or in connection with this promotion shall be final, conclusive, and legally binding on all the Participants and Winners. No correspondence or appeal will be entertained.

21. The Prizes awarded to each Winner is strictly non-exchangeable, non-transferable, and cannot be redeemed for cash or any other alternative, in whole or in part.

22. This promotion is subject to all applicable local and international laws and regulations. It shall be deemed void in jurisdictions where such promotions are prohibited by law. Comera shall not be held liable for any monetary loss, damage or inconvenience incurred by any participant arising out of or in connection with their participation in this promotion.

23. Comera reserves the right, at its sole discretion and where reasonably deemed necessary, to change the draw date. In such cases, the revised draw date(s),will be communicated through Comera’s official channels.

24. Comera shall not be liable for any failure to perform its obligations under this Promotion due to events beyond its reasonable control, including but not limited to acts of God, natural disasters (such as fire, flood, hurricane), war, hostilities, political unrest, riots, civil commotion, terror attack, inevitable accidents, or any other circumstances amounting to Force Majeure.

25. By participating in this Campaign, participants or winners consent to the collection, processing, and use of their personal information by Comera for the purposes of administering the e-raffle draw and related promotional activities in accordance with applicable data protection laws and Comera’s privacy policy.

26. All disputes arising or in connection with this Promotion are subject to the laws of the United Arab of Emirates and shall be subject to the jurisdiction of competent courts of the United Arab of Emirates.

27. Comera strongly advises all Participants or Winners to ensure that their contact information, including phone numbers and email addresses, remains accurate and up to date to facilitate smooth communication.

28. Comera will never request personal banking information, confidential documents, or payment of any kind from participants or winners in order to claim their prizes. Participants or Winners are urged to remain vigilant against fraudulent communications. These Terms and Conditions, the Terms of Use and Privacy Policy available on Comera website make up the entire agreement between Participants or Winners and Comera regarding your participation in a Campaign.

29. Participants or Winners agree to defend, indemnify, and hold harmless the Comera from and against all liabilities, damages, losses, and costs (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following: (a) Participants or Winners access to or use of the Campaign; (b) Participants or Winners breach of these Campaign Terms; or (c) any misrepresentation made by Participants or Winners.
