1. Acceptance of Terms 

By participating in the Amazon Cashback promotional campaign (“Promotion”) offered by Comera Technology LLC (UAE) (“Comera”, “we”, or “us”), you (“Participant” or “user”) agree to these Terms and Conditions. You must indicate your acceptance (for example, by checking the required box in the Comera app) before participating in the Promotion. If you do not agree to any of these terms, you are not eligible to participate in the Promotion. 

2. Eligibility 

2.1. Comera Wallet Account: The Promotion is only open to individuals who are registered users of the Comera Wallet (part of the Comera Pay platform) with an active account in good standing. You must have completed any required identity verification (KYC) and compliance steps for your Comera Wallet to be eligible for cashback rewards. 

2.2. Residency and Age: Participants must be residents of the United Arab Emirates and at least 18 years old (or the age of legal majority in your jurisdiction) to qualify. Comera may require proof of identity and age to verify eligibility. 

3. Campaign Period 

This Promotion is valid only for Amazon orders placed during the official campaign period as announced by Comera (the “Campaign Period”). The start and end dates (and times) of the Campaign Period will be communicated via the Comera app or other official Comera channels. Only purchases made within this period and meeting all other criteria will be eligible for cashback rewards. Orders placed outside the Campaign Period will not qualify. 

4. Cashback Offer Mechanics 

4.1. Cashback Amount: All qualifying purchases under the categories Apparel, Luggage, and Shoes shall be eligible for cashback upto 10 %  and all qualifying purchases under the categories Amazon Fresh, Grocery, and Major Appliances shall be eligible for cashback upto 5%. 

4.2. Promotion Budget and Availability: This Promotion is subject to a limited overall budget and may have a maximum number of total redemptions available. Comera reserves the right to end the Promotion early or stop awarding cashback once the overall campaign budget is exhausted or the redemption limit is reached, even if the announced Campaign Period has not fully elapsed. Cashback rewards are offered on a first-come, first-served basis; once the budget or redemption cap is reached, no further rewards will be provided. 

5. Cashback Crediting and Disbursement 

5.1. Crediting to Comera Wallet: Cashback earned through this Promotion will be credited to your Comera Wallet account, typically within 30 days after the delivery of the corresponding Amazon order. The credit will appear as a balance update in your Comera Wallet, labeled appropriately for this Promotion. No physical cash or direct Amazon discount is provided; the reward is delivered as an electronic credit to your Comera Wallet. 

5.2. Conditions for Disbursement: Cashback will only be disbursed if the Amazon order is successfully fulfilled and not returned or canceled. Comera will verify that the order was not refunded before issuing the cashback. If your order (or any part of it) is canceled, not shipped, or is returned for a refund before the cashback is credited, you will not receive the cashback for that order.  

5.3. No Combining of Promotions: The cashback offer in this Promotion cannot be combined with any other Comera promotion or referral bonus, unless explicitly allowed by Comera. Each Amazon order can only receive rewards from one Comera promotion at a time.  

5.4. Notification: Comera may notify you via the app or email once the cashback has been credited. However, it is the Participant’s responsibility to check their Comera Wallet balance. If you believe you made a qualifying purchase and did not receive the cashback after 30 days from delivery, you must contact Comera within a reasonable time (but within 60 days of the purchase) to inquire or lodge a claim. Any claims made after the Promotion has ended and beyond a reasonable notification period may be addressed at Comera’s discretion only. 

6. Use of Cashback Rewards (Comera Wallet) 

6.1. Wallet Usage: Cashback credits awarded under this Promotion will reside in your Comera Wallet as a monetary balance. These credits can only be used in the following ways: (a) for purposes of payment of bills through Comera Wallet (subject to any minimum transfer limits or fees as per Comera’s standard terms), or (b) used toward remittance (money transfer) services available through Comera Pay, or (c) withdrawn to your bank account (subject to any applicable limits or fees) or (d) transferred via Phone-to-Phone transfer between Comera Wallet users.  

6.2. KYC and Compliance: Transfer of wallet funds to a bank account or via remittance may require you to have a fully verified Comera account (completion of KYC procedures as required by UAE regulations and Comera’s policies). If you have not completed the necessary verification, you may be restricted from transferring or remitting the cashback until such verification is done. Comera may, at its discretion, allow you to earn cashback before full verification, but actual withdrawal/use of the funds will be contingent on fulfilling KYC and other legal requirements. 

6.3. No Interest: Cashback balances in the Comera Wallet do not earn interest and are not deposit accounts. They represent a promotional rebate provided by Comera and have no cash value until redeemed in the permitted manner (bank transfer or remittance by the user). 

7. Forfeiture of Cashback 

7.1. Account Closure or Inactivity: If you close your Comera Wallet account, or if your account becomes inactive or suspended (per Comera’s account terms) before the cashback is credited or while any cashback remains unused, any pending or unused cashback rewards may be forfeited. Comera may, at its discretion, allow you to claim the reward before closure if you request it and meet all other requirements. Otherwise, closure or long-term suspension of the account will result in loss of any benefits under this Promotion. 

7.2. Forfeiture for Violations: Any cashback reward earned or credited in violation of these Terms (for example, through fraud or abuse of the Promotion) is void and will be subject to cancellation or clawback. Comera reserves the right to invalidate and remove cashback credits that were obtained contrary to the rules or the spirit of the Promotion, or through any misrepresentation or misconduct. 

8. Modification and Termination of Promotion 

8.1. Right to Modify: Comera reserves the right to modify or update these Terms and Conditions, or any aspect of the Promotion (including but not limited to eligibility criteria, Campaign Period, reward amount, etc.), at any time. If we make material changes, we will announce such changes via the Comera app, website, or other appropriate channels. It is your responsibility to review any updated terms. Continued participation in the Promotion after any changes are made constitutes your acceptance of the updated Terms. 

8.2. Early Termination or Suspension: Comera also reserves the right to suspend or terminate the Promotion at any time for any reason. For example, the Promotion may be ended early if (a) the promotional budget is exhausted; (b) we experience technical issues or errors that affect the integrity or intended operation of the Promotion; (c) fraud, hacking, or other unlawful activity is suspected; or (d) for any other reason at Comera’s discretion (including compliance with applicable law or regulatory requirements). If the Promotion is terminated or suspended prior to the originally stated end date, Comera will endeavor to honor cashback for any Qualifying Purchases made before the effective termination date (provided all requirements are met, and subject to these Terms), but no new rewards will be earned for purchases made after the Promotion has been ended or suspended. 

8.3. No Waiver: Comera’s failure to enforce any provision of these Terms at any time shall not constitute a waiver of that provision or of any other provision. No waiver by Comera of any breach of these Terms shall be deemed a waiver of any subsequent breach. Furthermore, no oral communications or statements by any Comera employees or agents regarding the Promotion shall operate as a modification of these Terms. 

9. Fraud, Abuse, and Disqualification 

9.1. Prohibited Activities: Participants must not engage in any fraudulent, deceptive, or abusive actions in relation to this Promotion. Prohibited activities include, but are not limited to: creating multiple Comera Wallet accounts or Amazon accounts to claim multiple rewards; placing fictitious or risk-free orders solely to obtain cashback; colluding with other individuals or using any automated means to fabricate qualifying transactions; or any other manipulation of the Promotion’s mechanics to gain an unintended advantage. Engaging in such activities is a violation of these Terms. 

9.2. Investigation and Enforcement: Comera reserves the right to investigate any suspected fraud, abuse, or violation of these Terms. This may include reviewing your transaction history, requiring additional verification of qualifying purchases, or other steps to verify compliance. You agree to cooperate with any investigation. If, in Comera’s reasonable opinion, you have violated these Terms or attempted to exploit the Promotion, Comera may take one or more of the following actions: 

9.2.1. Disqualify you from this Promotion (and potentially from other current or future promotions or offers). 

9.2.2. Void or refuse to award any cashback that you would otherwise earn for any suspect transactions, or cancel any cashback already credited to your Wallet that was obtained improperly. 

9.2.3. Temporarily or permanently suspend your Comera Wallet account or restrict your use of Comera services, especially if fraudulent activity is detected. 

9.2.4. Pursue legal action and/or seek restitution to recover any damages or losses incurred by Comera as a result of the fraudulent or abusive behavior. 

9.3. Final Decision: All determinations by Comera regarding participation eligibility, compliance with these Terms, and the investigation of fraud or abuse are final and binding. Comera reserves the right to deny any cashback reward or disqualify any Participant at its sole discretion if a violation is confirmed. Participants who are disqualified may also forfeit any earned rewards and may be barred from future promotions or use of Comera services. 

10. Disclaimers and Liability 

10.1. Amazon Not Involved: This Promotion is operated by Comera Technology LLC (through its Affiliate Comera Pay LLC which owns and operates the Comera Wallet) and Amazon has no responsibility or liability with respect to this Promotion. Any questions, comments, or issues regarding the Promotion should be directed to Comera, not to Amazon. (Amazon’s name and logos are trademarks of Amazon.com, Inc. or its affiliates, used here only to identify the platform on which qualifying purchases are made.) 

10.2. No Endorsement or Partnership: Participation in this Promotion or any reference to Amazon is not an endorsement of Comera by Amazon, nor does it constitute any partnership, joint venture, or agency relationship between Comera and Amazon. You acknowledge that Amazon’s sole role in this Promotion is as the e-commerce platform where the Qualifying Purchase is made, and that Amazon provides no cashback or reward under this offer directly to you. 

10.3. Limitation of Liability: To the maximum extent permitted by law, Comera (including its parent, affiliates, officers, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your participation in this Promotion or use of any cashback reward. In all cases, Comera’s total liability for any claims arising under this Promotion (whether in contract, tort, or otherwise) is limited to the amount of cashback the Participant has earned in accordance with these Terms. Furthermore, Comera is not responsible for any failure or delay in fulfilling its obligations due to circumstances beyond its control, including but not limited to: failures or malfunctions of Amazon’s website or payment systems; technical glitches or network outages; problems with internet connectivity; or any acts or omissions of third parties (such as Amazon or financial service providers). 

10.4. No Warranties: Comera makes no representations or warranties of any kind, express or implied, regarding the Promotion or the suitability of the cashback for any particular purpose. The cashback reward is provided “as is” and “as available” without warranty of any kind. Comera does not guarantee that the Promotion will run uninterrupted or error-free, or that all qualifying transactions will be tracked accurately in real time. If any error or issue occurs (technical or otherwise) in the tracking, calculation, or crediting of cashback, Comera reserves the right to correct such errors and make appropriate adjustments (provided that such correction does not deprive Participants of rewards rightfully earned under these Terms). 

10.5. Force Majeure: Comera will not be liable for any inability to execute this Promotion or fulfill rewards due to circumstances beyond its reasonable control. This includes, without limitation, acts of God, natural disasters, war, terrorism, government restrictions, changes in law or regulation, public health emergencies, network or system outages, or any other force majeure event. If such events occur, Comera may suspend or cancel the Promotion without any liability to Participants, provided that any earned rewards before such suspension/cancellation will be handled in accordance with these Terms when feasible. 

10.6. Indemnification: By participating in the Promotion, you agree to indemnify and hold harmless Comera and its affiliates from and against any and all claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your violation of any law or the rights of any third party in connection with your participation in the Promotion or use of the Comera Wallet. 

11. Governing Law and Dispute Resolution 

This Promotion and these Terms and Conditions are governed by the laws of the United Arab Emirates. In the event of any dispute, claim, or controversy arising out of or relating to this Promotion or the interpretation of these Terms, the matter shall be resolved in accordance with the laws of the UAE. The courts of the Emirate of Abu Dhabi, United Arab Emirates shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Promotion or these Terms, subject to any mandatory provisions of local law that apply for the consumer’s benefit. 

12. General Provisions 

12.1. Severability: If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable (or, if not possible, it shall be deemed severed), and the remaining provisions shall remain in full force and effect. 

12.2. Entire Agreement: These Terms and Conditions (together with any applicable Comera Wallet user agreement and Privacy Policy) and Comera Terms of Use constitute the entire agreement between you and Comera with respect to this Promotion and supersede any prior communications or understandings, whether written or oral, relating to the subject matter hereof.
