Comera Digital Wallet and Tokenization Terms and Conditions

Last Updated: April 17, 2026, Version 1.0

These Digital Wallet and Tokenization Terms and Conditions (“Terms”) govern your use of any eligible Comera card, account, wallet, or payment instrument in connection with supported digital wallet, tokenization, and digital credential services made available by or through Comera, including Apple Wallet / Apple Pay, Google Wallet / Google Pay, Click to Pay, and any other similar services supported by Comera from time to time (collectively, “Digital Wallet Services”).

These Terms form a legally binding agreement between you and Comera Pay LLC (“Comera”, “we”, “us” or “our”).

By selecting “Accept”, “Agree”, “Add to Wallet”, “Enable”, “Enroll”, “Continue”, or any similar option, or by adding, linking, enrolling, provisioning, storing, or using your eligible card or payment instrument with any Digital Wallet Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

These Terms are in addition to, and should be read together with, the terms governing your Comera account, wallet, card, payment instrument, app usage, privacy notice, fee schedule, and any other applicable product terms (the “Underlying Terms”).

If there is any inconsistency between these Terms and the Underlying Terms, the Underlying Terms shall prevail, except to the extent these Terms specifically regulate Digital Wallet Services.

Definitions

For the purposes of these Terms:

Card means any eligible physical card, virtual card, multicurrency card, prepaid card, debit card, payment credential, or similar payment instrument issued, supported, or made available by Comera.

Click to Pay means the digital checkout and tokenized remote commerce service made available through Visa or any similar supported service.

Device means any compatible mobile phone, tablet, wearable device, computer, or other device through which a Digital Wallet Service may be accessed or used.

Digital Wallet means any third-party digital wallet, payment application, tokenization service, remote commerce service, or digital payment environment supported by Comera from time to time.

Token means a digital, virtual, device-based, merchant-based, or network-based payment credential generated or linked in place of your Card details for use with a Digital Wallet Service.

Provisioning means the process of adding, linking, enrolling, registering, enabling, storing, digitizing, or otherwise making your Card available for use in a Digital Wallet Service.

Underlying Terms has the meaning given in the introduction above.

Eligibility

You may use a Digital Wallet Service only if:

  • You hold an eligible Card or payment instrument in good standing.
  • Your Card or payment instrument has been enabled by Comera for the relevant Digital Wallet Service.
  • You have a compatible Device and any required operating system, software, application, wallet profile, or service account.
  • You satisfy any legal, regulatory, technical, security, verification, or risk requirements imposed by Comera or the relevant Digital Wallet Service provider.
  • The Digital Wallet Service is available for your Card type, Device, region, and channel of use.

Comera may determine, at its sole discretion, whether a Card, customer, Device, channel, transaction type, or Digital Wallet Service is eligible at any time.

Nature of the Service

A Digital Wallet Service enables you to use a Token linked to your Card instead of using your Card details directly. The Token may be used for supported in-store, contactless, online, in-app, recurring, card-on-file, or other digital transactions, subject to merchant acceptance, service availability, security checks, and applicable restrictions.

Your use of a Token does not replace your Card or your relationship with Comera. All transactions conducted using a Token remain linked to your underlying Card or account and remain subject to the Underlying Terms, including any applicable limits, fees, foreign exchange treatment, restrictions, or dispute processes.

Transactions conducted using Digital Wallet Services may be subject to monitoring to identify unusual or potentially unauthorized activity.

Your Consent to Provisioning and Tokenization

By enrolling in or using a Digital Wallet Service, you expressly authorize Comera and any relevant third party acting in connection with the Digital Wallet Service to:

  • Verify your identity, eligibility, account status, and Card status.
  • Provision, generate, activate, suspend, revoke, replace, update, or delete a Token linked to your Card.
  • Share, receive, store, use, and process information necessary and proportionate to enable and manage the Digital Wallet Service.
  • Perform authentication, fraud prevention, security monitoring, and risk assessment checks.
  • Act on instructions submitted through your Device, the Comera app, the relevant wallet application, merchant environment, or other supported channel.

Comera shall process personal data solely on a necessary, proportionate, and purpose-limited basis, strictly to the extent required to provision, operate, secure, monitor, and manage the Digital Wallet Services, comply with applicable law, and prevent fraud or misuse.

You acknowledge and agree that Comera may rely on any request, instruction, approval, authentication, or confirmation received through the relevant Digital Wallet Service, Device, or associated channel as being validly made by you, unless and until you notify us otherwise and we have had a reasonable opportunity to act; provided, however, that Comera shall not be entitled to rely on any such request, instruction, approval, authentication, or confirmation to the extent it results from:

  • Fraud, wilful misconduct, or unauthorized use not caused by your breach of this Agreement.
  • Any compromise, malfunction, or security breach of Comera’s systems, or of the relevant Digital Wallet Service to the extent not caused by you.
  • Any manifest error, duplicate transmission, or system failure that should reasonably have been detected by Comera.
  • Any request, instruction, approval, authentication, or confirmation received after you have notified us of suspected fraud, loss, theft, compromise, or unauthorized access, once Comera has had a reasonable opportunity to act on such notice.

Where consent is relied upon, you may withdraw it at any time, subject to legal or contractual restrictions.

Data Sharing and Processing

In order to provide, maintain, secure, and operate Digital Wallet Services, Comera may collect, receive, use, store, transfer, disclose, and otherwise process information relating to you, your Card, your Device, your transactions, and your use of the Digital Wallet Services.

  • Authentication and verification information.
  • Transaction-related information, merchant information, and usage history.
  • Fraud, risk, security, and compliance-related information.
  • Updated profile information where relevant to the Digital Wallet Service.

Any sharing or disclosure of personal data to third parties shall occur on a strict need-to-know, purpose-limited basis and be subject to contractual confidentiality, security, and data protection obligations consistent with applicable law.

  • Digital wallet providers and wallet operators.
  • Payment networks and card schemes, including Visa or any other card scheme where applicable.
  • Token service providers, processors, and technical integration partners.
  • Identity verification, fraud prevention, authentication, security, analytics, and support service providers.
  • Comera affiliates, contractors, and professional advisers.
  • Regulatory authorities, law enforcement agencies, courts, or competent authorities where required by law or regulation.

You understand and agree that Digital Wallet Services may involve the processing, storage, or transfer of information through third-party systems, platforms, or cloud environments used by the relevant Digital Wallet Service providers or their service providers.

Personal data may be transferred to or accessed from locations outside your country of residence in accordance with applicable data protection laws and appropriate safeguards. Please refer to the Privacy Policy for further details on such transfers and the safeguards implemented.

Your personal data will also be handled in accordance with Comera’s applicable Privacy Policy, as updated from time to time. Third-party Digital Wallet Service providers may separately collect and process your data under their own terms and privacy notices, and Comera is not responsible for such third-party processing except to the extent required by applicable law.

Comera retains personal data only for as long as necessary to fulfil the purposes described in these Terms, including compliance with legal, regulatory, accounting, and fraud prevention requirements.

Authentication and Verification

Comera may require you to complete one or more authentication or verification steps before, during, or after provisioning, activation, profile updates, or transactions.

These may include, without limitation:

  • App login or account login.
  • One-time passcodes (OTP) or verification codes.
  • Push notifications or in-app approvals.
  • Biometric verification.
  • Password, passcode, PIN, or device authentication.
  • Additional identity or security checks.
  • Any other verification process required by Comera or the relevant Digital Wallet Service provider.

Any biometric authentication (such as Face ID, Touch ID, or Fingerprint) registered on your Device can authorize transactions. You are responsible for ensuring that only your own biometrics are registered on the Device.

Comera may refuse, delay, suspend, or decline any provisioning request, activation request, update request, or transaction where we consider it necessary for security, fraud prevention, legal, operational, technical, or regulatory reasons.

Comera shall notify you of any refusal, delay, suspension, or decline and shall, where feasible, provide the reasons for such action.

Comera may apply additional or enhanced authentication measures based on the nature of the transaction, Device, regulatory requirements, or other risk considerations.

Your Obligations

You must at all times:

  • Keep your Device, login credentials, passcodes, PINs, passwords, and authentication tools secure.
  • Ensure that only you, or persons lawfully authorized by you, access your Device and Digital Wallet Services.
  • Not share any OTP, passcode, verification code, password, or approval with any other person.
  • Promptly notify Comera if your Device, SIM, Card, account, credentials, or Digital Wallet access is lost, stolen, changed, compromised, or suspected to be compromised.
  • Promptly notify Comera of any unauthorized provisioning, enrolment, access, or transaction.
  • Keep your mobile number, email address, and other contact details verified and up to date.
  • Comply with all applicable laws and all instructions issued by Comera in relation to the Digital Wallet Services.
  • Ensure that your Device is not compromised, modified, tampered with, rooted, jailbroken, or otherwise insecure.
  • Promptly notify Comera as soon as possible upon becoming aware of any unauthorized or suspicious activity.

You are responsible for all use of the Digital Wallet Services through your Device, credentials, or authentication tools until you notify Comera of the relevant issue and Comera has had a reasonable opportunity to take action, except to the extent that any unauthorized use or loss is directly caused by Comera’s gross negligence, wilful misconduct, or material failure to maintain reasonable security controls in relation to the Digital Wallet Services.

Token Lifecycle Management

Comera may, at any time and, where reasonably necessary for operational, security, fraud prevention, or regulatory compliance purposes, without prior notice, activate, restrict, suspend, block, cancel, replace, revoke, update, or remove any Token, or disable your access to a Digital Wallet Service, including where:

  • Your Card has expired, been replaced, blocked, suspended, or closed.
  • Your account or wallet is restricted, suspended, or terminated.
  • A Device is changed, replaced, reset, sold, lost, stolen, or no longer supported.
  • Comera suspects fraud, misuse, unauthorized activity, or a security concern.
  • Required verification or authentication is unsuccessful or incomplete.
  • The information associated with the Digital Wallet Service is inaccurate or outdated.
  • The Digital Wallet Service provider, token service provider, payment network, processor, or competent authority requires or instructs us to do so.
  • Comera discontinues or changes support for the relevant Digital Wallet Service.

The removal of a Token from one Device does not necessarily remove it from all Devices or from your underlying Card or account.

Where Comera takes any such action without prior notice, Comera will notify you as soon as reasonably practicable afterwards, unless prohibited by law, regulation, the instruction of a competent authority, or where such notification would compromise fraud prevention, security measures, or an ongoing investigation.

Changes to Your Details

You must promptly update Comera if your name, mobile number, email address, address, or other relevant profile or contact information changes.

Where a Digital Wallet Service depends on such information, Comera may update, synchronize, refresh, suspend, re-verify, or require re-enrolment of the Digital Wallet Service or Token in order to maintain data accuracy, security, and service continuity.

Alerts and Notifications

You agree that Comera may send you SMS messages, push notifications, emails, in-app notices, or other communications relating to provisioning, activation, verification, token status, transaction activity, profile updates, service errors, retries, security alerts, or suspension/removal of a Digital Wallet Service.

Such notifications may be sent by Comera or by a service provider acting on Comera’s behalf. Delivery of notifications may be delayed, disrupted, or unavailable due to network conditions, third-party systems, device settings, or other factors beyond Comera’s control.

Third-Party Services

Digital Wallet Services may be owned, operated, or provided by third parties, including but not limited to Apple, Google, Visa (or any other card scheme), payment networks, token service providers, processors, merchants, device manufacturers, telecom operators, and technology service providers.

Your use of such services may also be subject to separate third-party terms, privacy notices, user agreements, and operating rules. You are responsible for reviewing and complying with those third-party terms.

Comera does not control and is not responsible for:

  • The operation, availability, security, or performance of any third-party wallet, Device, system, or platform.
  • Any act, omission, failure, error, or interruption caused by any third party.
  • Any merchant’s refusal to accept a Token or Digital Wallet Service.
  • Any separate product terms, privacy practices, or service changes imposed by a third-party provider.
  • Outages, errors, or security incidents of Apple, Google, Visa (or any other applicable card scheme), or other wallet providers.

Notwithstanding the involvement of third-party Digital Wallet providers, Comera applies appropriate controls in relation to transactions conducted using its issued payment instruments.

Fees and Charges

Comera may charge fees in connection with your Card, wallet, account, or transactions in accordance with the Underlying Terms.

Unless expressly stated otherwise, Comera does not undertake that Digital Wallet Services will always be free of charge.

A summary of any fees and charges specifically applicable to the Digital Wallet Services will be made available by Comera through the applicable fee schedule published at Multicurrency Cards Services and Charges | Comera Pay | Your Gateway to Seamless Online Payments.

By using Digital Wallet Services, you acknowledge that such fees and charges may apply as disclosed in that fee schedule, as amended from time to time in accordance with applicable law and these Terms.

Your mobile network operator or other third parties may impose separate fees or charges, including for internet usage, messaging, roaming, or data services, and you remain solely responsible for such charges.

Suspension and Termination

Comera may suspend or terminate your use of any Digital Wallet Service immediately if:

  • You breach these Terms or the Underlying Terms.
  • Comera suspects fraud, misuse, unlawful activity, or security compromise.
  • Your Card, account, or wallet is no longer active or eligible.
  • Continued provision of the Digital Wallet Service may expose Comera to legal, regulatory, operational, technical, reputational, or security risk.
  • Comera is required or requested to do so by law, regulation, court order, payment network rule, or a competent authority.

You may stop using a Digital Wallet Service at any time by removing the Token from the relevant Device or by contacting Comera where applicable.

Terminating the Digital Wallet Service will not by itself close your Card, account, or wallet unless separately requested and processed.

Liability

To the maximum extent permitted by applicable law, Comera shall not be liable for any loss, damage, delay, cost, or expense arising out of or in connection with:

  • Any inability to provision, activate, access, or use a Digital Wallet Service.
  • Any refusal by a merchant, card scheme, wallet provider, Device, or third party to accept or support a Token or Digital Wallet Service.
  • Any interruption, delay, error, malfunction, incompatibility, or unavailability of a Digital Wallet Service, Device, wallet application, processor, token service provider, or network.
  • Any act or omission of a third-party provider.
  • Your failure to keep your Device, credentials, or authentication tools secure.
  • Any suspension, revocation, decline, or removal of a Token or Digital Wallet Service for security, fraud, legal, or operational reasons.
  • Any use of the Digital Wallet Service by a person who gains access to your Device, credentials, or authentication tools before you notify Comera and Comera has had a reasonable opportunity to act.

Nothing in these Terms limits your rights in respect of unauthorized transactions.

Where a transaction is confirmed as unauthorized, Comera will provide appropriate resolution, including refunds, in accordance with applicable laws and payment network rules (or card scheme rules).

All rights in the Comera app, Digital Wallet Services, and related materials remain vested in Comera or the relevant third-party owners.

Any such change may be notified to you by app notice, website publication, SMS, email, push notification, or any other lawful communication method.

Your continued use of the Digital Wallet Services after the effective date of any update constitutes your acceptance of the updated Terms, unless applicable law requires a different form of consent.

Any dispute arising out of or in connection with these Terms shall be subject to the dispute resolution, jurisdiction, or forum provisions set out in the Underlying Terms, unless otherwise required by applicable law.
